Welcome to SailRACE. The terms “we”, “us” and “our” refer to SailRACE – INTEALIS, S.L. (“SailRACE”).

SailRACE operates this online store and website at sailrace.com, including all related information, content, features, tools, products and services, in order to provide you with a curated shopping experience (the “Services”). Our Store is powered by Shopify, which provides the technical ecommerce platform we use to offer the Services to you.

These Terms of Service (the “Terms”), together with any policies referenced herein (including our Privacy Policy, Cookie Policy, Shipping Policy, and Returns, Refunds & Right of Withdrawal Policy), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully, as they include important information about your legal rights and cover areas such as disclaimers of warranties and limitations of liability.

By visiting, interacting with or using the Services (including browsing the store or placing an order), you agree to be bound by these Terms and by our Privacy Policy [LINK]. If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.

SECTION 1 – ACCESS AND ACCOUNT

By agreeing to these Terms, you represent that:

You are at least 18 years old (age of majority in Spain) or the age of majority in your state or province of residence; and
You have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.

To use the Services, including browsing our online store or purchasing products, you may be asked to provide information such as your name, email address, billing information, payment details and shipping address. You represent and warrant that all information you provide is true, current and complete and that you have all rights necessary to provide it.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may not transfer, sell, assign or license your account to any other person.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion, subject to applicable law.

SECTION 2 – OUR PRODUCTS

We make every effort to provide accurate descriptions, images and technical specifications for our products and services. However:

Colours and product appearance may differ from how they appear on your screen due to device type, display settings and configuration.
Packaging and minor design details may change due to manufacturer updates.

We do not warrant that the appearance, quality or performance of any products or services purchased by you will always meet your expectations or be identical to images or renderings in the online store.

All descriptions and prices of products are subject to change at any time without prior notice, at our sole discretion. We reserve the right to:

Discontinue any product at any time; and
Limit quantities of any product or service we offer to any person, household, geographic region or jurisdiction, on a case-by-case basis.

SECTION 3 – ORDERS

When you place an order, you are making an offer to purchase the selected products under these Terms.

We must receive and process your payment before your order is accepted.
We reserve the right to accept or decline your order for any reason at our discretion (for example, product unavailability, pricing errors, export restrictions or fraud concerns).

Your order is considered accepted when we confirm acceptance (for example, by email) and/or begin processing and preparing your order for shipment.

You should review your order carefully before submitting it. After an order is accepted, we may not be able to accommodate changes or cancellations, although we will always do our best where feasible.

If we do not accept, modify or cancel an order after you have submitted it, we will attempt to notify you using the email address, billing address and/or phone number you provided, and:

Refund any amounts we have already collected if the order is cancelled; or
Propose alternatives if only part of the order is affected (for example, partial stock issues).

Returns and Right of Withdrawal

Your purchases are subject to return and withdrawal only in accordance with our Returns, Refunds & Right of Withdrawal Policy [LINK], which forms part of these Terms. That policy:

Sets out your 14-day legal Right of Withdrawal under EU consumer law, which we apply and extend as described there. SailRACE
Explains our extended 30-day returns window, conditions for returns and non-returnable items (e.g. custom orders, cut-to-length rigging, digital cartography and licences, sealed safety/hygiene products once opened).
Defines who pays for return shipping and the RMA process.

By placing an order, you acknowledge that you have read and accept that policy.

Personal use and resale

Unless we explicitly agree otherwise in writing, you represent and warrant that your purchases are for your own use (personal, household or professional) and not primarily for commercial resale or distribution.

SECTION 4 – PRICES AND BILLING

4.1 Prices, taxes and duties

Prices, discounts and promotions are subject to change at any time without notice.

The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation. SailRACE+1
Unless expressly stated otherwise, posted prices do not include:
- Shipping and handling
- Customs duties and import taxes (for non-EU destinations)
- Any local fees charged by carriers or customs

We may offer promotions or discounts that affect pricing and that are governed by separate terms. If there is a conflict between the promotional terms and these Terms, the promotional terms will prevail for that promotion.

4.2 VAT and EU rules

For deliveries within the European Union, prices and VAT are handled in accordance with EU VAT rules. Depending on your location and status (consumer or business customer), VAT may be:

Included in the displayed price; or
Calculated at checkout according to applicable rules.

If you are a business customer, you may provide your VAT number so that it appears correctly on your invoice. SailRACE

4.3 Non-EU deliveries (DAP)

For deliveries outside the European Union, orders are generally shipped under Incoterm DAP (Delivered At Place) as described in our Shipping Policy [LINK]:

SailRACE arranges and pays for transportation to your country or destination.
You are responsible for import duties, taxes and any customs or brokerage fees charged in your country.

These charges are not included in our prices or shipping costs at checkout.

4.4 Payment information

You agree to provide current, complete and accurate purchase, payment and account information for all purchases made in our Store and to keep your information (email address, billing details, card expiry dates, etc.) up to date so we can complete your transactions and contact you as needed.

You represent and warrant that:

The payment information you provide (e.g. credit card) is true, correct and complete.
You are duly authorised to use such payment method.
Charges incurred by you will be honoured by your payment provider.
You will pay all charges incurred at the posted prices, including shipping and any applicable taxes.

SECTION 5 – SHIPPING AND DELIVERY

Shipping methods, carriers (including UPS and DHL), delivery time estimates and special conditions (for example, delivery to marinas, shipyards and yachts in transit) are described in detail in our Shipping Policy [LINK] and related FAQs. SailRACE+1

All delivery times are estimates only and not guarantees. We are not responsible for delays caused by:

Shipping carriers
Customs or import processes
Force majeure events or circumstances beyond our reasonable control (see Section 16)

Once we transfer the products to the carrier in accordance with the agreed incoterms (typically DAP), risk of loss and damage passes to you, subject to applicable consumer protection laws.

Your rights in case of delayed or non-conforming delivery (including damaged goods) are further described in our Shipping Policy [LINK] and Returns, Refunds & Right of Withdrawal Policy [LINK].

We do not offer local pickup; all orders are shipped by courier or freight.

SECTION 6 – INTELLECTUAL PROPERTY

The Services and all related content, including but not limited to trademarks, logos, text, images, graphics, videos, audio, product descriptions, reviews and the design and layout of the site, are owned by SailRACE, its affiliates or licensors and are protected by copyright, trademark and other intellectual property laws. These Terms permit you to use the Services for your personal, non-commercial use only. You must not:

Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material from the Services, except for personal, non-commercial use or as permitted by mandatory law.

Except as expressly provided herein, nothing in these Terms grants you a licence or other rights under any patent, trademark, copyright or other intellectual property of SailRACE, Shopify or any third party.

SailRACE names, logos, product and service names, designs and slogans are trademarks of SailRACE or its affiliates or licensors. You must not use such trademarks without our prior written permission.

Shopify’s names, logos, product and service names, designs and slogans are trademarks of Shopify and/or its affiliates.

SECTION 7 – OPTIONAL TOOLS

We may provide you with access to tools or services offered by third parties (for example, review widgets, financing options, tracking services) as part of the Services.

You acknowledge and agree that:

We provide access to such tools “as is” and “as available”, without any warranties, representations or conditions of any kind and without endorsement.
We have no liability whatsoever arising from or relating to your use of third-party tools.

Any use of optional tools offered through the site is entirely at your own risk and discretion. You should ensure that you are familiar with and accept the terms on which tools are provided by the relevant third-party provider(s).

New features or tools may be introduced in the future and will also be subject to these Terms unless stated otherwise.

SECTION 8 – THIRD-PARTY LINKS

The Services may contain content and hyperlinks to websites or services provided by third parties (including embedded functionality).

We are not responsible for examining or evaluating the content, accuracy or availability of any third-party materials or websites. If you choose to access third-party websites from our Services, you do so at your own risk. SailRACE

We are not liable for any damage or loss related to your access or use of any third-party websites, products, services or content. You should review carefully the policies and terms of any third-party before engaging in any transaction with them.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Our Store is powered by Shopify, which provides the ecommerce platform we use to offer the Services to you.

However:

Any sales and purchases you make in our Store are made directly with SailRACE, not with Shopify.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and SailRACE, including any injury, damage or loss resulting from purchased products or services.

You hereby expressly release Shopify and its affiliates from any claims, damages or liabilities arising from or related to your purchases and transactions with SailRACE.

SECTION 10 – PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy [LINK], and certain personal information may also be processed by Shopify under Shopify’s Privacy Policy.

Because the Services are hosted by Shopify:

Shopify collects and processes certain personal information related to your access to and use of the Services in order to operate and improve the platform.
Information you submit via the Services may be transmitted to and stored by Shopify and other third-party providers, potentially in other countries, subject to appropriate legal safeguards.

SECTION 11 – FEEDBACK

If you submit, upload, post, email or otherwise transmit any ideas, suggestions, reviews, proposals, plans or other content related to the Services (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including commercial purposes.

You represent and warrant that:

You own or have all necessary rights to the Feedback.
You have disclosed any compensation or incentives received in connection with your Feedback when required by law.
Your Feedback complies with these Terms and applicable law.

We have no obligation to:

Maintain Feedback in confidence;
Pay compensation for Feedback; or
Respond to Feedback.

We may, but have no obligation to, monitor, edit or remove Feedback that we determine, in our sole discretion, to be unlawful, offensive, threatening, libellous, defamatory, obscene or otherwise objectionable, or that violates any party’s intellectual property or these Terms.

You are solely responsible for any Feedback you submit and for its accuracy.

SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on the Services that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, shipping charges, transit times or availability.

We reserve the right to:

Correct any errors, inaccuracies or omissions;
Change or update information; and
Cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order), subject to your legal rights.

If we cancel an order after you have paid, we will refund the amounts paid for the cancelled items.

SECTION 13 – PROHIBITED USES

You may use the Services only for lawful purposes and in accordance with these Terms.

You may not use the Services:

For any unlawful or malicious purpose;
To violate any applicable law or regulation;
To infringe upon our intellectual property rights or the rights of others;
To harass, abuse, insult, harm, defame, slander, intimidate or discriminate against any person;
To submit false or misleading information;
To send unsolicited or unauthorised advertising or spam;
To impersonate any person or entity; or
To engage in any conduct that, in our judgment, may harm SailRACE, Shopify or users of the Services, or expose them to liability.

In addition, you agree not to:

Upload or transmit any viruses or malicious code;
Reproduce, duplicate, copy, sell, resell or exploit any portion of the Services without our express written permission;
Collect or track the personal information of others contrary to applicable law;
Interfere with or circumvent the security features of the Services or any related website.

We reserve the right to suspend or terminate your access to the Services at any time, without notice, if we determine that you have violated any part of these Terms.

SECTION 14 – TERMINATION

We may terminate or suspend your access to the Services (in whole or in part) at any time, at our sole discretion and without prior notice, if:

You breach these Terms;
We are required to do so by law or competent authority; or
We discontinue the Services.

You will remain liable for all amounts due up to and including the date of termination.

Sections that by their nature should survive termination (including, but not limited to, Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution) will continue to apply after termination.

SECTION 15 – DISCLAIMER OF WARRANTIES

The information and materials presented on or through the Services are provided for general information purposes only. While we strive to keep the content accurate and up-to-date, we do not guarantee that the information is always complete, accurate or current. The Services and all products offered through the Services are provided “as is” and “as available” for your use, without any guarantees, warranties or conditions of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title and non-infringement.
We do not warrant that your use of the Services will be uninterrupted, timely, secure or error-free.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of the above may not apply to you. In such cases, the warranty exclusions will apply only to the extent permitted by applicable law.

SECTION 16 – LIMITATION OF LIABILITY

Nothing in these Terms seeks to exclude or limit liability where such exclusion or limitation would be unlawful, including liability for:

Death or personal injury caused by negligence;
Fraud or fraudulent misrepresentation; or
Any rights you have under mandatory consumer protection laws.

Subject to the above, and to the maximum extent permitted by law:

SailRACE, our directors, officers, employees, affiliates, agents, contractors, service providers and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost savings, loss of data or replacement costs, arising out of or related to your use of the Services or products purchased through the Services. - Problems inherent to the use of the internet (interruption, disruption or delays); or

To the extent permitted by law, our aggregate liability in relation to any order will be limited to the total amount you paid for that order.

You agree to indemnify, defend and hold harmless SailRACE, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your breach of these Terms or any policies they incorporate by reference;
Your violation of any law or the rights of a third party; or
Your access to and use of the Services.

We will notify you of any claim for which we seek indemnification, and we may control the defence and settlement of such claim. You agree to cooperate in the defence of indemnified claims.

SECTION 18 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed from these Terms. This determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with any policies or additional terms referenced herein or posted on the Services (including our Shipping Policy, Returns Policy, Privacy Policy and Cookie Policy), constitute the entire agreement between you and SailRACE regarding your use of the Services and supersede any prior agreements or understandings, whether oral or written.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

SECTION 20 – ASSIGNMENT

You may not delegate, transfer or assign these Terms or any of your rights or obligations under them without our prior written consent, and any such attempt will be null and void.

We may transfer, assign or delegate these Terms and our rights and obligations under them without consent or notice to you, to the extent permitted by law.

SECTION 21 – GOVERNING LAW AND JURISDICTION

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with Spanish law, without prejudice to any mandatory consumer protection rules of your country of residence.

Subject to mandatory jurisdiction rules, any disputes arising out of or in connection with these Terms, the Services or any purchases shall be submitted to the courts of Madrid, Spain.

If you are a consumer resident in the European Union, you also have the right to use the European Commission’s Online Dispute Resolution (ODR) platform for consumer disputes.

The headings used in these Terms are included for convenience only and will not limit or otherwise affect the interpretation of the provisions.

We reserve the right, at our sole discretion and subject to applicable law, to update, change or replace any part of these Terms by posting updates and changes on the Website. We will notify you of any material changes as required by law.

Your continued use of or access to the Services after the effective date of any changes constitutes acceptance of those changes.
